Terms of use

These Terms of Use (hereinafter the "Terms") govern your access to and use of the Plaida web platform (hereinafter "Plaida"). Plaida is operated by Kapreon Inc. (hereinafter "we", "our", "us").

By accessing Plaida, using it, or clicking on an acceptance button, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use Plaida.

1. Plaida

Plaida is a web service enabling the creation of visual training content based on user contributions.

2. Distinction with the Privacy Policy

These Terms govern the general rules for using Plaida and the rights and obligations arising therefrom between you and us. They do not detail how we collect, use, disclose, or protect your personal information.

Our practices regarding the protection of personal information are described in our Privacy Policy. This Privacy Policy is a separate document from these Terms. By using Plaida, you also agree to the terms of our Privacy Policy.

3. User Accounts

To access certain features of Plaida, you may be required to create a user account. When you create an account, you agree to:

• Provide us with accurate, complete, and current information upon registration and keep this information up to date.
• Not use another user's account without permission.

We reserve the right to suspend or terminate your account if we have reasonable grounds to believe that the information you have provided is false, inaccurate, or incomplete, or if you violate these Terms.

4. Purchase and Use of Credits

You may have the option to purchase credits to use certain features or create image generations on Plaida.

• The purchase of credits is subject to these Terms.
• Purchased credits must be used within one year from the date of purchase. Unused credits after this period will expire.
• Credit prices may be changed at any time. We will inform you of price changes by updating our pricing page.

5. Content Ownership

• Your Uploads and Generations: To the extent permitted by applicable law and within the relationship between you and us, you retain ownership of your "Uploads" and "Generations."
• We grant you exclusive rights to reproduce and display the Generations you have created.
• We commit not to resell the Generations you have created and not to assert copyright over these Generations against you or your end-users, provided that you comply with these Terms and our Privacy Policy.
• If you fail to comply with our Terms or our Privacy Policy, you may lose the rights to use the Generations. However, we will send you written notice giving you a reasonable opportunity to remedy the situation, unless your violation is manifestly illegal or abusive.
• You understand and agree that other users may create Generations similar or identical to yours using their own uploads and existing packs, and that your rights are limited to the specific Generations you have created.
• Use of Your Generations: Subject to your compliance with these Terms and our Privacy Policy, you are authorized to use your Generations for any lawful purpose, including commercial purposes. This includes the right to sell the rights to your Generations, integrate them into other works, and otherwise commercialize them.
• Plaida's Intellectual Property: Plaida itself, its content (excluding user-generated content as described above), features, software, source code, and all associated intellectual property rights are the exclusive property of Kapreon Inc. or its licensors. You may not copy, modify, distribute, sell, or lease any part of Plaida or our included software, nor may you reverse engineer or attempt to extract the source code of such software, unless prohibited by law or you have our written permission.

6. Acceptable Use of Plaida

You agree to use Plaida in accordance with these Terms and applicable laws. You specifically agree not to:

• Use Plaida for illegal or unauthorized purposes.
• Violate or encourage the violation of the rights of third parties, including intellectual property rights or privacy rights.
• Transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, hateful, racially, ethnically, or otherwise objectionable.
• Attempt to disrupt or interfere with the integrity or security of Plaida or its data.
• Attempt to gain unauthorized access to Plaida, associated systems, or networks.

We may, at our sole discretion, remove any content or suspend or terminate your access to Plaida if we believe that your use is contrary to these Terms or harmful to us or other users.

7. Limitation of Liability

Plaida is provided "as is" and "as available." We make no representations or warranties, express or implied, regarding the operation of Plaida or the information, content, materials, or products included therein. You use Plaida at your own risk. To the fullest extent permitted by law, we disclaim all liability for damages of any kind arising from the use of Plaida, including, but not limited to, direct, indirect, incidental, punitive, and consequential damages. We will not be liable for service interruptions or errors.

8. Indemnification

You agree to defend, indemnify, and hold harmless Kapreon Inc., its affiliates, and their respective directors, officers, employees, and agents from and against all claims, actions, suits, or proceedings, as well as all losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to your use of Plaida or your violation of these Terms.

9. Changes to the Terms

We may update or modify these Terms at any time and at our sole discretion. In the event of a material change, we will notify you by posting a notice on Plaida or by sending an email to the address associated with your account. By continuing to use Plaida after the changes take effect, you agree to be bound by the revised Terms.

10. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to principles of conflicts of laws. Any dispute or claim arising from these Terms or your use of Plaida will be subject to the exclusive jurisdiction of the competent courts located in the Province of Quebec.
